Terms of Service

Effective Date: July 1, 2026

Thank you for choosing Extropolis Corp. (“Extropolis,” “we,” “our,” or “us”). By using neural-speaker.com and all other websites, mobile applications, or digital mediums owned and maintained by Extropolis in connection with the NeuralSpeaker product (collectively, the “Platform”), users (“you,” “your,” or “their”) agree to be bound to these Terms of Service (“Terms”), which include our Privacy Policy. Through our Platform, we provide assistive speech technology services powered by artificial intelligence (“Services”).

We reserve the right to modify or discontinue the Platform, or any portion thereof, without notice. These Terms may be updated from time to time. Such modifications are effective upon posting to the Platform, and your continued use constitutes acceptance of the Terms in effect at that time.

Exception for biometric and health data terms: Changes that materially alter how we collect, use, or retain your voice recordings, biometric voice model, or consumer health data are not effective through continued use. Such changes require a fresh, affirmative consent through the in-app consent flow before they take effect for your data. We will notify you by email at least 30 days before such changes take effect.

If you do not agree to all of these Terms, then please do not access or use the Platform or any portion of it. By using all or any part of the Platform, you agree to be bound by these Terms. If these Terms are not acceptable to you, your only recourse is to cease using the Platform.

1. Description of Services

NeuralSpeaker is an assistive speech technology platform designed for individuals with speech impairments. The Services include:

  1. Voice Recording & Transcription: You record audio samples of your voice through our web or iOS application. Audio is processed using AI-powered speech recognition (OpenAI Whisper) to generate transcriptions.
  2. Dataset Creation: Your voice recordings and transcriptions are organized into datasets that capture the unique characteristics of your voice.
  3. AI Model Training: Using your voice dataset, we fine-tune AI models on cloud-based GPU infrastructure to learn your voice patterns and speech characteristics.
  4. Text-to-Speech & Voice Cloning: Your trained voice model enables text-to-speech output that sounds like your natural voice. Using advanced neural network technology, you can type text and hear it spoken in your own voice with natural-sounding speech output.

2. Platform Access and Electronic Communication

The Platform is controlled and operated by us from the United States. We make no representation that any part of the Platform or Services is appropriate or available for use in other locations. Those who choose to access the Platform from other locations do so at their own risk and are responsible for compliance with applicable local laws.

We reserve the right to limit the availability of the Platform and/or Services to any person, geographic area, or jurisdiction at any time and in our sole discretion, including if we reasonably believe: (i) you have violated these Terms; (ii) you create risk or possible legal exposure for us; or (iii) our provision of the Platform is no longer commercially viable.

Consistent with COPPA, we do not intend to market the Platform or Services to children under thirteen (13) years of age. If you are under 13, you are not authorized to use the Platform and Services. If you are under 18, you may use the Platform only with the approval of your parent or guardian.

3. Account Registration

To access the Services, you must create an account through our authentication provider (Clerk). By creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and current
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Immediately notify us of any unauthorized use of your account

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. You may delete your account at any time by contacting us.

4. Beta Program

NeuralSpeaker is currently offered as a beta product. By using the Services during the beta period, you acknowledge and agree that:

  • The Services may contain bugs, errors, or other issues that may cause data loss or service interruptions
  • Features may be added, modified, or removed without notice
  • The Services are provided free of charge during the beta period; pricing may be introduced in the future
  • We may discontinue the beta program at any time
  • Your feedback and usage data may be used to improve the Services

5. Third-Party Service Providers

AI and Machine Learning

The AI processing powering NeuralSpeaker relies on several third-party technologies. By using the Services, you acknowledge and agree that:

  • Your audio recordings and transcriptions may be processed by third-party AI infrastructure providers (including Modal.com for serverless ML processing)
  • Speech recognition is powered by OpenAI Whisper models, which process your audio data to generate transcriptions
  • Text-to-speech synthesis uses Coqui TTS technology for voice generation
  • We have no control over third-party providers’ data retention, processing, or security practices beyond our contractual agreements with them

Authentication (Clerk)

User authentication is handled by Clerk. Your login credentials and account information are managed by Clerk and governed by Clerk’s Privacy Policy and Clerk’s Terms of Service.

Data Storage

User data is stored using Supabase (database) and Cloudflare R2 (audio and file storage). These providers maintain their own security standards and compliance certifications.

Hosting

The web application is hosted on Railway. The iOS application is distributed through Apple’s App Store and is subject to Apple’s terms and conditions.

6. Content Ownership and Restrictions

Our Content

The Platform, including but not limited to text, images, design, layout, user interface, and software (collectively, “Content”), belongs to Extropolis or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Your Voice Data

You retain all ownership of your voice recordings, audio samples, and the voice characteristics contained therein. By using the Services and providing your granular consent, you grant us a limited, revocable license to process your voice data solely for the specific purposes you consented to at sign-up or in your account settings:

  • Transcription consent: License to record and convert your voice to text for communication assistance.
  • Model training consent (optional): License to use your recordings to train a personalized speech model that captures the biometric characteristics of your voice.
  • Platform improvement consent (optional): License to use anonymized, aggregated data derived from your recordings to improve the Platform for all users. We will not use identifiable voice data for this purpose.

The license for each purpose is limited to that purpose only. We will not use your data beyond the scope of your consent. Each license terminates immediately when you withdraw the corresponding consent or delete your account. You may withdraw optional consents (model training and platform improvement) at any time from Settings → Privacy → Privacy & Consent without losing access to transcription features.

Transcription consent is a condition of account access. It cannot be withdrawn independently — if you wish to revoke it, you must delete your account via Settings → Privacy → Delete My Data.

Your Trained Models

AI models trained on your voice data are created for your personal use. You may use the speech output generated by your models for personal communication. However, you may not resell, redistribute, or commercially exploit the trained models or the underlying technology.

Restrictions on Use

You may not:

  • Access, tamper with, or use non-public areas of the Platform or our computer systems
  • Probe, scan, or test the vulnerability of any system or network, or breach security measures
  • Interfere with or disrupt the Platform or the access of any user
  • Use automated means (bots, scrapers, crawlers) to access or extract data
  • Attempt to decompile, reverse engineer, or disassemble any software used in the Platform
  • Use the Platform for any unlawful purpose or in violation of any applicable law
  • Upload audio recordings of other individuals without their knowledge and consent
  • Upload files that contain malware, viruses, or malicious code
  • Circumvent any rate limiting, access controls, or beta access requirements
  • Encourage or enable any other individual to do any of the foregoing

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including suspending or terminating access to the Platform and reporting violations to law enforcement.

7. Ethical Use of Voice Technology

Voice cloning and speech synthesis are powerful technologies that carry ethical responsibilities. By using NeuralSpeaker, you agree to:

  • Only clone your own voice or voices of individuals who have given explicit, informed consent
  • Never impersonate another person — do not use the Platform to generate speech that mimics someone else’s voice without their explicit consent
  • Never use synthesized speech to deceive others into believing they are hearing a real person speak
  • Never create deepfakes or misleading audio content, or use the Services for fraudulent, deceptive, or illegal purposes
  • Not use the Services for harassment, intimidation, or any form of abuse
  • Disclose when speech is AI-generated in contexts where the distinction matters (e.g., legal proceedings, official communications)
  • Comply with all applicable laws regarding synthetic media, biometric data, and voice reproduction in your jurisdiction

Violation of these ethical guidelines may result in immediate termination of your account and deletion of all associated data.

8. Health and Medical Disclaimer

Not Medical Advice

NeuralSpeaker is not a medical device, healthcare provider, or substitute for professional medical advice, diagnosis, or treatment. The Services are assistive communication tools designed to supplement, not replace, professional speech therapy or medical care.

You should consult with qualified healthcare professionals regarding any medical conditions, speech impairments, or treatment plans. Never disregard professional medical advice or delay seeking it because of information or tools provided by NeuralSpeaker.

AI Limitations

The AI-powered features of NeuralSpeaker:

  • May not perfectly replicate your voice in all situations
  • May produce speech with occasional errors, mispronunciations, or unnatural qualities
  • Depend on the quality and quantity of your voice recordings
  • May produce varying results over time as models are updated or retrained
  • Are not guaranteed to work for all types of speech impairments or conditions

All voice synthesis and transcription outputs are provided on an “as-is” basis.

The Platform, Services, and Content are provided “as is” and “as available” without warranty of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, quiet enjoyment, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, Extropolis and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of profits, data, goodwill, or other intangible losses; damages arising from your use of or inability to use the Platform or Services; damages arising from any reliance on AI-generated speech or transcriptions; damages arising from unauthorized access to or alteration of your voice data or trained models; or any other matter relating to the Platform or Services.

In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim. During the beta period, as no fees are charged, our maximum aggregate liability shall not exceed fifty U.S. dollars ($50.00).

By using the Platform, you understand that you may be waiving rights with respect to claims that are currently unknown or unsuspected. In accordance with this waiver, you acknowledge that you have read and understand, and hereby expressly waive the benefits of, Section 1542 of the Civil Code of California, and any similar law of any state or territory, which provides: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

Any cause of action or claim arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues, otherwise such claim is permanently barred.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold Extropolis, its officers, directors, employees, and agents harmless from and against any claims, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: your access to or use of the Platform or Services; your violation of these Terms; your violation of any applicable law or regulation; your misuse of voice cloning or speech synthesis technology; any content you upload or generate through the Services; or any dispute between you and a third party.

13. Links to Third-Party Websites

The Platform may include links to third-party websites. These Terms apply only to the NeuralSpeaker Platform. We are not responsible for the content, privacy practices, or availability of any third-party websites.

We may, at our sole discretion and without prior notice: restrict or terminate your access; suspend or delete your account; take appropriate legal action; disclose information as necessary to satisfy any law, regulation, or government request; and remove or disable access to any content that violates these Terms.

15. Force Majeure

Extropolis shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, failure of third-party service providers (including Modal.com, Clerk, Supabase, Cloudflare, and our hosting provider), internet or telecommunications failures, cyberattacks, or power outages.

16. Electronic Communications

By creating an account and using the Services, you agree to receive electronic communications from us, including service announcements, administrative messages, and updates related to your account. You agree that any electronic communication from us satisfies any legal requirement that such communication be in writing.

17. General Provisions

These Terms and the Privacy Policy constitute the entire agreement between you and Extropolis regarding the Platform and Services. If any provision is found invalid or unenforceable, the remainder shall remain in full force. No waiver by us shall be valid unless in writing and signed by an officer of Extropolis. You may not assign or transfer these Terms without our prior written consent. Headings are for reference only. Any provision that must survive to allow us to enforce its meaning shall survive termination for any reason.

18. Disputes and Governing Law

Any disputes arising from or related to these Terms or your use of the Platform and Services shall be resolved first by good faith efforts to negotiate. If those efforts fail, the exclusive forum shall be a state or federal court located in the State of Washington. You agree to personal jurisdiction and venue in such courts.
